The documents have revealed some interesting stats.
Spotify now has 71 million paid users versus the 70 million paid accounts reported on January 4. “We believe that our number of Premium Subscribers is nearly double the size of our nearest competitor, Apple Music,” the company wrote in the filing.
By comparison, Apple Music is at an estimated 36 million paid subscribers, but is catching up fast. Unlike Apple Music which doesn’t offer an ad-supported tier, Spotify also offers free music to those willing to put up with advertising.
Combining paid and free accounts, the service has 159 million active monthly users.
Spotify believes unique data gives it an edge over competitors:
Many music services have large catalogs, but we believe Spotify is differentiated from other services because we provide Users with a more personalized experience, driven by powerful music search and discovery engines. We have a large and growing base of Users that are highly engaged on Spotify, which enables us to continuously learn about their listening behaviors throughout the day.
We use this information to create a more personalized and engaging experience for each incremental visit to our platform. We believe this personalized experience is a key competitive advantage as Users are more likely to engage with a platform that reflects their real-time moods and activities and captures a unique understanding of moments in their lives.
Shares have traded as high as $132.50 on private markets, giving Spotify a valuation over $23 billion. However, the service isn’t making money. Last year, for instance, Spotify lost a whopping $1.5 billion, according to the filing. It reported revenue of $2.37 billion in 2015, $3.6 billion in 2016 and $4.99 billion in 2017.
The growth of Spotify’s subscriber base over the past few years
Spotify will be trading under the ticker SPOT on the New York Stock Exchange (NYSE), CNBC reported yesterday. The IPO paperwork revealed that they’ve decided to file for a direct listing which bypasses the typical Wall Street process.

As this listing is taking place via a novel process that is not an underwritten initial public offering, there will be no book building process and no price at which underwriters initially sold shares to the public to help inform efficient price discovery with respect to the opening trades on the NYSE.
Pursuant to NYSE Rules, we have engaged Morgan Stanley & Co. LLC (“Morgan Stanley”) as a financial advisor to be available to consult with the designated market maker (the “DMM”) in setting the opening public price of our ordinary shares on the NYSE.
Based on information provided by the NYSE, the opening public price of our ordinary shares on the NYSE will be determined by buy and sell orders collected by the NYSE from broker-dealers and the NYSE is where buy orders can be matched with sell orders at a single price.
Most of Spotify’s investors can cash out at any time because they aren’t subject to the usual 180-day lock-up period when major investors are typically forbidden from selling their shares to avoid flooding the market.
Daniel Ek, the 35-year-old Spotify CEO and co-founder who holds a 25.7% stake in the 10-year-old Swedish company, penned an emotional 1,300-word letter to investors, titled “Our Path”, in which he promised to make users “feel part of a greater whole.”
He described Spotify, which pioneered the music-streaming business, as a “cultural platform where professional creators can break free of their medium’s constraints” and “where everyone can enjoy an immersive artistic experience that enables us to empathize with each other.”
“We really do believe that we can improve the world, one song at a time,” Ek wrote.
